Introduction

This Statement of Work (“SOW”) is between Alpharetta Police Department (“Customer”) and Flock Group Inc (“Flock Safety”). This Statement of Work is governed by the Master Service Agreement with Flock Safety and Customer. This SOW defines the scope of the services that Flock Safety will provide to the Customer. This Statement of Work provides definitions and mutual understanding of the work to be completed.

Project Summary

Flock Safety will implement Flock Nova for the Alpharetta Police Department. Flock Nova provides a secure platform that allows personnel to access multiple data sources in a single location. This integrated data will be used to create interactive maps, network graphs, and dashboards, with the goal of enhancing situational awareness and officer safety. Flock Nova accelerates evidence-based decision-making, enhances investigatory capabilities, streamline criminal analyses, and generates intelligence-driven outcomes. This implementation will include integration from multiple sources and locations as detailed in the systems table below12:

Descriptions of Services

The following services will be provided as part of this Statement of Work. Any Services not described herein will require a Project Change Request (PCR).

Project Readiness Services

Flock Safety will provide a Technical Project Manager for engagement that will be responsible for the following tasks: ●​ Reviewing Statement of Work and contractual responsibilities of both parties with the Customer’s lead point of contact.

●​ Providing project plans to the Customer and updating the plan during the length of the engagement.

●​ Measurement and evaluation of the progress.

●​ Handoff upon project completion.

Flock Safety Implementation technicians will: ●​ Configure and upload all in scope Alpharetta Police Department files to Flock Nova.

●​ Integrate existing in scope systems data into Flock Nova.

●​ Set up real-time data flow and alerting within Flock Nova.

●​ Enable access for all applicable end users within the department.

Training Training will be conducted for all end users within the department in person or remotely.

Out of Scope: ●​ Physical installation of any product not supplied by Flock Safety.

●​ Software changes/configurations outside of Flock Nova.

●​ Network configurations outside of Flock Safety standards.

Project Conditions ●​ Project Timeline is dependent upon the information supplied by the customer. All information that is asked by Flock Safety, is required to be completed prior to Flock Employee onsite (if applicable).

FLOCK SAFETY FREE FORM EARLY ACCESS RIDER

This Flock Safety Early Access Rider (this “Rider”) is between Flock Group, Inc. (“Flock”) and the Customer identified in the applicable Order Form (“Customer”) (each a “Party,” and together, the “Parties”) who have previously entered into a Master Services Agreement (“Agreement”). All terms and definitions of the Agreement will remain in full force and effect, other than as defined herein.

WHEREAS, Flock offers a suite of situational awareness solutions for integration with livestream videos, license plate readers, devices, alerts and notifications; and Customer desires access to Flock Services for bona fide public safety purposes (“Purpose”). In consideration of the foregoing, and of the promises and facts set forth herein, Flock and Customer agree as follows: ​

Definitions

“Free Form Search” - The FreeForm feature enables investigators to quickly find leads by allowing them to search Flock license plate reader data and/or video data using simple, descriptive terms.

Terms Early Access Obligations and Details. Flock may provide Customer with early access to the Free Form Search Feature prior to its general availability for evaluation and feedback. This Rider outlines the terms and conditions under which the Customer will participate in the Free Form Search Feature early access program offered by Flock (“Early Access Program”). Customer further agrees to and understands that delivery and implementation of this Early Access Program will be determined by a mutually agreed upon date. Notwithstanding, under the Early Access Program referenced herein, Flock will be responsible for providing a demo of FreeForm Search Feature. The Parties mutually agree that the Customer will have a 45-day trial period to evaluate the FreeForm Search Feature (“Trial Period”). On or around the fourteenth (14th) day of the Trial Period, Flock shall conduct a formal check-in with the Customer to: (a) solicit feedback regarding the Free Form Search Feature, and (b) present the proposed pricing applicable after the Trial Period. In the event that the Customer does not purchase continued access to the Free Form Search Feature by the end of the forty-five (45) day Trial Period, Customer's access to the Free Form Search Feature shall cease immediately upon the conclusion of the Trial Period.

Results. All reports, designs, specifications and other materials and rights in all media made and/or developed for enhancement of the Free Form Search Feature, will be the sole and exclusive property of Flock. All rights, title, and interest throughout the world to any invention relating to enhancement of the Free Form Search Feature, whether or not patentable, conceived in or made in the course of or resulting from this Rider will be the sole and exclusive property of Flock, provided that in no event will Customer disclose to any third party any proprietary Flock data or information.

Restrictions. The Customer must comply with all restrictions set forth in the Agreement, the Privacy Policy (https://www.flocksafety.com/privacy-policy), and this Rider in all uses of The Free Form Search Feature.

Customer’s access to The Free Form Search Feature shall be used solely for the Purpose. Customer shall not meddle with; reverse assemble or reverse compile or directly or indirectly allow or cause a third party to reverse assemble or reverse compile the whole or any part of the software or any products supplied as a part of this Rider. If Flock believes, in its sole discretion, that Customer has violated or attempted to violate any term, condition or the spirit of this Rider or the Agreement, the license afforded to Customer pursuant to this Rider may be temporarily or permanently revoked, with or without notice to Customer .

Feedback. Customer shall waive any claims for royalties or any other forms of remuneration for the feedback 
provided, in whatever form. If Customer  provides any suggestions, ideas, enhancement requests, feedback, 
recommendations, or other information relating to the subject matter hereunder, including The Free Form Search 
Feature, Customer  hereby assigns (and shall cause its agents and representatives to assign) to Flock all right, title 
and interest (including intellectual property rights). With the Customer’s prior written consent, the Customer agrees 
to be considered as a potential reference, which may include participation in case studies, testimonials, or other 
marketing materials highlighting the benefits of FreeForm. 
License. Flock grants Customer  a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to 
use the referenced early access software and/or product(s). 
Customer Data. As between Flock and Customer, all right, title and interest in the Customer Data, belong to and are 
retained solely by Customer. Customer hereby grants to Flock a limited, non-exclusive, royalty-free, irrevocable, 
worldwide license to use the Customer Data and perform all acts as may be necessary for Flock to provide the Flock 
Services to Customer. Flock does not own and shall not sell Customer Data. 
Customer  Representations and Warranties. Customer  represents, covenants, and warrants that Customer  shall 
only use the Services  in compliance with the Agreement, this Rider, Flock’s privacy policy 
(https://www.flocksafety.com/privacy-policy),  and all applicable laws and regulations.   
Fees. If the Customer decides to purchase the FreeForm Search Feature after the Trial Period, payment terms will be 
agreed upon in a separate Order Form and/or agreement.  
Term. The Early Access Program for the Free Form Search Feature shall commence upon implementation of the 
Free Form Search Feature and shall continue for a period of forty-five (45) days thereafter. 
Termination for Convenience. At any time during the agreed upon Term, either Party may terminate this Rider for 
convenience, without penalty.  
Entire Agreement. This Rider, incorporated with the Agreement, any applicable Order Form, and any addenda 
thereto contains  the entire understanding between Parties and supersedes all prior and contemporaneous 
agreements, understandings, express or implied, oral or written, of any nature with respect to the subject matter 
hereof. This Rider will govern in the event of any conflict between this Rider and the Agreement.

AGREEMENT BETWEEN THE CITY OF ALPHARETTA, GEORGIA AND FLOCK

GROUP INC. AKA FLOCK SAFETY

Addendum No. 1

This Contract Addendum supplements those certain Terms and Conditions, Order Forms, Flock Safety Free Form Early Access Rider, and Statement of Work (collectively the “Agreement”) between FLOCK GROUP, INC. AKA FLOCK SAFETY a foreign corporation, (the “Contractor”), and CITY OF ALPHARETTA a Georgia municipal corporation (the “City”) (the “Agreement”) of even date herewith, to add the following provisions thereto:

1. 
Conflicting Provisions.

The provisions of this Contract Addendum supersede and control over any conflicting provisions written into the Agreement to which this Contract Addendum is attached.

2. 
Term of Agreement.

If the Term of this Agreement is longer than one year, the Parties agree that this Agreement, as required by O.C.G.A. § 36-60-13, shall terminate absolutely and without further obligation on the part of City on December 31 each calendar (contract) year of the Term, and further, that this Agreement shall automatically renew on January 1 of each subsequent calendar (contract) year absent City’s provision of written notice of non-renewal to Contractor at least five (5) days prior to the end of the then current calendar (contract) year. To the extent this may apply to this Agreement, title to any supplies, materials, equipment, or other personal property shall remain in Contractor until fully paid for by City. Upon termination of expiration of this Agreement, Contractor shall remove any applicable Flock hardware at a commercially reasonable time period.

3. 
Nondiscrimination.

In accordance with Title VI of the Civil Rights Act, as amended, 42 U.S.C. § 2000d, section 303 of the Age Discrimination Act of 1975, as amended, 42 U.S.C. § 6102, section 202 of the Americans with Disabilities Act of 1990, 42 U.S.C. § 12132, and all other provisions of Federal law, Contractor agrees that, during performance of this Agreement, Contractor, for itself, its assignees and successors in interest, will not discriminate against any employee or applicant for employment, any subcontractor, or any supplier because of race, color, creed, national origin, gender, age or disability. In addition, Contractor agrees to comply with all applicable implementing regulations and shall include the provisions of this Section in every subcontract for services contemplated under this Agreement.

4. 
Confidentiality.

Contractor acknowledges that City’s disclosure of documentation is governed by Georgia’s Open Records Act, and Contractor further acknowledges that if Contractor submits records containing trade secret information, and if Contractor wishes to keep such records confidential, Docusign Envelope ID: A2CE0D96-1282-486E-919C-EE7D7CEA4A6D

Contractor must submit and attach to such records an affidavit affirmatively declaring that specific information in the records constitutes trade secrets pursuant to Article 27 of Chapter 1 of Title 10, and the Parties shall follow the requirements of O.C.G.A. § 50-18-72(a)(34) related thereto.

Notwithstanding any provision to the contrary, the City shall provide advance notice of any disclosure of Contractor’s Confidential Information unless prohibited by law, and shall only disclose as much Confidential Information as is required to be disclosed by any applicable judicial or administrative process, law or regulation

5. 
Sovereign Immunity.

Nothing contained in the Agreement shall be construed to be a waiver of City’s sovereign immunity or any individual’s qualified, good faith or official immunities. Any provision of the Agreement requiring the City to indemnify the Contractor is only valid to the extent allowed by Georgia law.

6. 
Governing Law.

This Agreement is governed by the laws of the State of Georgia to the extent that such laws apply to the City as municipality of Georgia and as a party to this Agreement.

7. 
Force Majeure.

Neither City nor Contractor shall be liable for its respective non-negligent or non-willful failure to perform or shall be deemed in default with respect to the failure to perform (or cure a failure to perform) any of its respective duties or obligations under this Agreement or for any delay in such performance due to: (i) any cause beyond its respective reasonable control; (ii) any act of God;

(iii) any change in applicable governmental rules or regulations rendering the performance of any portion of this Agreement legally impossible; (iv) earthquake, fire, explosion or flood; (v) strike or labor dispute, excluding strikes or labor disputes by employees and/or agents of Contractor; (vi) delay or failure to act by any governmental or military authority; or (vii) any war, hostility, embargo, sabotage, civil disturbance, riot, insurrection or invasion. In such event, and if applicable, the time for performance shall be extended by an amount of time equal to the period of delay caused by such acts, and all other obligations shall remain intact.

8. 
Assignment of Agreement; Subcontractors.

Neither party may assign or transfer this Agreement or any rights granted to it hereunder, in whole or in part, nor delegate any of its duties or obligations arising hereunder without the prior written consent of the other party, which consent shall not be unreasonably withheld; provided, however that this Agreement may be transferred by operation of law or assignment by either party to a surviving entity of a merger or consolidation involving that party or to a purchaser of all or substantially all of that party’s assets. Any assignment, transfer or delegation of rights, duties or obligations hereunder in contravention of the preceding sentence shall be null and void. This Agreement shall be binding upon and shall inure to the benefit of, and be enforceable by, the parties to this Agreement and their respective successors and permitted assigns.

Employment of Unauthorized Aliens Prohibited – E-Verify Affidavit.

Pursuant to O.C.G.A. § 13-10-91, City shall not enter into a contract for the physical performance of services unless Contractor shall provide evidence on the forms attached hereto as Addendum Exhibits “A” and “B” (affidavits regarding compliance with the E-Verify program to be sworn under oath under criminal penalty of false swearing pursuant to O.C.G.A. § 16-10-71), that it and its subcontractors have registered with, are authorized to use and use the federal work authorization program commonly known as E-Verify, or any subsequent replacement program, in accordance with the applicable provisions and deadlines established in O.C.G.A. § 13-10-91, and that they will continue to use the federal work authorization program throughout the contract period. Contractor hereby verifies that it has, prior to executing this Agreement, executed a notarized affidavit, the form of which is provided in Addendum Exhibit “A”, and submitted such affidavit to City. Further, Contractor hereby agrees to comply with the requirements of the federal Immigration Reform and Control Act of 1986 (IRCA), P.L. 99-603, O.C.G.A. § 13-10-91 and Georgia Department of Labor Rule 300-10-1-.02.

In the event Contractor employs or contracts with any subcontractor(s) to perform services for City, Contractor agrees to secure from such subcontractor(s) attestation of the subcontractor’s compliance with O.C.G.A. § 13-10-91 and Rule 300-10-1-.02 by the subcontractor’s execution of the subcontractor affidavit, the form of which is attached hereto as Addendum Exhibit “B”, which subcontractor affidavit shall become part of the contractor/subcontractor agreement. Contractor agrees that the employee-number category designated below is applicable to it:
